Brief profile of the Board of Directors including directorship & full-time positions in body corporates

1. Ms. Jayashree Nair - Managing Director

Ms. Jayashree Nair is the Chairperson and Managing Director of BDH Industries Limited. She has been at the helm of BDH for the last six decades. Under her leadership, the Company has registered exponential growth in the business. She has in-depth knowledge & expertise of Good Manufacturing Practices (GMP) and General Business Management of the Company. Ms. Nair has a rich and varied experience in the Indian pharmaceutical industry. She brings her passion, vast repertoire of wisdom and technical know how to build a world class organisation. She is also a Director in BDH Healthcare Private Limited.

2. Mr. S. C. Kachhara - Joint Managing Director

Mr. S.C Kachhara is the Joint Managing Director and Chief Financial Officer (CFO) of BDH Industries Limited. He has been associated with the Company since 1978. He holds qualification of B.Com, LLb. (Gen.), FCA, MIIA (USA) and was conferred with Honorary Doctorate degree as Doctor of Philosophy (Ph.D) specialising in Pharmaceutical Science by California Public University (USA)in 2024. He has a rich experience of over 47 years in pharmaceutical industry. It is under his guidance and strategic thinking, the Company expanded horizontally over the globe. He has been director of the Company since 1990. His core competencies include business acumen, finance, taxation, international business, business development and general management. In 2024, he was awarded the “Outstanding International Leadership Award” at the International Achievers Conference & Awards held in Bangkok, Thailand. He is not a director in any other Company.

3. Ms. Karthika Nair- Non-Executive Director

Ms. Karthika Nair is the Non-Executive Director of BDH Industries Limited and associated with BDH since 1994. She holds qualification of M.Sc (Genetics) and MMS (Marketing) from University of Mumbai and Leading Change (Harvard). Prior to joining BDH, Ms. Nair has worked with leading Multinational Pharmaceutical companies and Indian pharmaceutical firms in Product Management. She is not a director in any other company and does not hold full time position in any body corporates.

4. Mr. Prabhakar Dalal - Independent Director

Mr. Prabhakar Dalal is a highly experienced banker in commercial and development banking with 38 years of experience and extensive international exposure across the globe. Mr. Dalal is the former Executive Director of Export-Import Bank of India (Exim Bank), a statutory financial institution wholly owned by Government of India. Mr. Dalal has completed a 5-week Global Leadership Development Programme (GLDP) conducted by the International Centre for Leadership in Finance (ICLIF) in Malaysia, China and USA and a 4-week World Bank-sponsored Investment Banking (IB) Programme in Philippines. Mr. Dalal has extensively travelled across the globe and also, he had foreign postings as Resident Representative for Africa. He has served/been serving as Independent or Nominee Director on the Boards of several companies/organizations in sectors like finance, pharmaceuticals, textiles and engineering, including on the Board of a Lome-headquartered regional development bank viz. West African Development Bank. He has served/been serving as Chairman/Member of Board Committees. Mr. Dalal has served as a Member of Jury for Business Excellence Awards and has served as a Panelist on ET Now. Mr. Prabhakar Dalal holds qualification of M.Com, LL.B, Certified Associate in Banking (CAIIB), Diploma in Foreign Exchange & Risk Management (PGDFERM), Fellow of the Indian Institute of Banking & Finance (FIIBF) and Diploma in Securities Law (PGDSL). He also holds certificates in French and German languages. Mr. Dalal’s core competencies include Retail & Corporate Finance, Corporate Governance, Corporate & Securities Laws, Investment Banking, international trade and overseas projects finance, institutional and international relations, leadership and general management. Mr. Prabhakar Dalal holds position as an Independent Director in BDH Industries Limited, Poonawala Fincorp Limited and Carysil Limited. He does not hold full time position in any body corporates.

5. Dr. Mitul Patel - Independent Director

Dr. Mitul Patel holds qualifications of MBBS and M.D (Paed.). He has 15 years of clinical experience specialising in childcare, case management and communication. He is practicing in consulting child and newborn specialists. He has developed individualised treatment plans for a variety of medical conditions and diseases and analyses lab tests and blood work to identify abnormalities and prescribes medication to treat chronic and non-chronic life-threatening illnesses. Dr. Patel is a pillar of strength in the local community, often helping the less fortunate and those who require medical aid urgently. Dr. Mitul Patel holds position as an Independent Director in BDH Industries Limited. He is not a director in any other company and does not hold full time position in any body corporate.

6. Mr. Suresh Chandra Kookada - Independent Director

Mr. Suresh Chandra Kookada is a practicing Chartered Accountant. He holds the qualification of B.Com and is member of the Institute of Chartered Accountants of India (ICAI) and the Institute of Company Secretaries of India (ICSI). He is the proprietor of M/s. Suresh Kookada & Company, Chartered Accountants. He has rich experience of over 40 years in audits, taxation and corporate matters. Mr. Suresh Chandra Kookada holds position as an Independent Director in BDH Industries Limited. He is not a director in any other company and does not hold full time position in any body corporate.
